Terms of Services
1. SUBJECT OF THE AGREEMENT
1.1 This Terms of Services applies to all the Services provided by Nstproxy on https://www.nstproxy.com/.
1.2 This Agreement is concluded between Nstproxy and the other Party.
1.3 The other Party may be referred to as «you» or the «User» in this Agreement.
1.4 To use the Services or the Website, you have to read our Terms of Services.
1.5 You have to cease using the Website or Services in case you have not properly read, fully understood, or agree with the Terms. The usage of the Website or Services shall mean that you confirm informed consent with Terms or any other supplements of the Agreement.
1.6 You are also deemed to have agreed to the Terms when creating a Personal Account, or submitting the Order Form.
1.7 You are forbidden to use the Website to check on the functioning, performance, or availability, or for any other benchmarking or competitive reasons. Nstproxy's competitors can use the Services on the Website if only there is prior written consent.
1.8 The Agreement is considered effective between Nstproxy and User as of the date of User’s acceptance of the Agreement.
1.9 Nstproxy’s Services provision is governed by this Agreement.
1.10 The amount and period of the Services are defined by the request specified in the Order Form by the User, which you have to pay and use in compliance with the Terms.
1.11 The laws of the United States shall govern, be applied to, and be interpreted in line with this Agreement, which was written in English (hereinafter – «applicable law(s)»).
2. SERVICES OR TERMS CHANGES
2.1 Nstproxy strives to make its Services comfortable for Users. Thus, we can update, modify, limit, and maintain our Website, acquire access to the Personal account without User’s permission, etc. to improve our Services.
2.2 Without prior notice or permission from the User, Nstproxy may change, modify, or update the Website.
2.3 Depending on the kind of proxy servers being used, Nstproxy has the right to impose limitations on the usage of the Services.
2.4 Nstproxy may carry out preventive maintenance, which may result in the Website being suspended, to guarantee the security of the Website and the usage of the Services by Users as well as to enhance the quality of such Services' offering.
2.5 Without the user's permission, Nstproxy may transfer ownership of the Website to other parties and/or assign its rights and/or duties under this Agreement.
2.6 Access to the Services may be denied or terminated at Nstproxy's sole discretion.
2.7 Nstproxy provides Services in type and data of proxies available at the time of the order. However, if Nstproxy does not have the Services in quantity ordered and paid for by the User, Nstproxy reserves the right to offer, and the User is obliged to take one of the following decisions (at its sole discretion).
2.7.1 Nstproxy can order the proxy servers necessary for the provision of the Service and provide them to the User within a period mutually agreed upon by the parties.
2.7.2 Nstproxy can change the country of proxy servers in whole or in the part that is not available.
3. SCOPE OF SERVICES
3.1 Nstproxy offers the User Services, including giving access to the Personal Account. In addition, we provide the User with proxy data, together with a unique login and password that enables one-on-one access to the Services.
3.2 Through Nstproxy's email or chat assistance, Nstproxy may offer essential guidance on connecting to the Services and configuring the software in order to make the User's usage of the Services easier.
3.3 The User’s access to the Website can be limited due to:
3.3.1 Scheduled maintenance.
3.3.2 Any unavailability brought on by events outside Nstproxy's reasonable control, for example, natural disasters, government acts, floods, fires, earthquakes, civil unrest, terrorist attacks, strikes, or other labor issues, or Nstproxy's inability to provide the Service as a result of its negligence (for example, Internet service provider failure or delay or denial of service).
3.4 Regardless of the specifics of the User's use of the Services, Nstproxy provides Services by laws that apply to Nstproxy's provision of Services to its Users generally and subject to the User's use of the Services under this Agreement and the applicable Order Form(s).
3.5 The User's actions regarding his usage of the Services or any other issues on any services that the User provides or receives are not under the control of Nstproxy.
3.6 Nstproxy may compile statistical information about the User's overall activity, such as the number of orders and other information.
3.7 Nstproxy has the right to send Users messages, requests, advertisements, informational messages, and other messages, including alerts when a User's subscription to Nstproxy's Services is about to expire.
4. RULES OF USE
4.1 Please do not take any activities that might harm the website or interfere with our operations.
4.2 The User may utilize Nstproxy's services after making an order, including:
4.2.1 Obtaining exclusive access to and using the services of the list of proxy services to which the User has access for the duration of the Order Form.
4.3 The User is required to:
4.3.1 Be in charge of ensuring that Users abide by the provisions of Order Forms and this Agreement.
4.3.2 To abide by all applicable laws and any other contractual provisions governing the use of Nstproxy's Services (and/or any related activities or transactions), including any particular legal regulations that apply to the User.
4.3.3 To refrain from taking any actions that could be construed as violating applicable laws, or that could disrupt the Website's smooth operation.
4.3.4 To be individually liable for using the Services.
4.3.5 To be in charge of ensuring the reliability, excellence, and legality of any personal information submitted by Users.
4.3.6 Promptly and in line with the requirements of this Agreement and the relevant Order Form, make payments.
4.3.7 Make your best commercially reasonable efforts to stop other parties from accessing or using the Services without authorization, and tell Nstproxy right once if this happens.
4.3.8 Utilize the Services solely in compliance with this Agreement, Order Forms, applicable laws, and rules of the government.
4.4 Usage Restrictions. User shall not:
4.4.1 Alter the Website (or any part of it), any content provided by Nstproxy, or adapt, process, imitate, transfer to other resources, translate, compile, decompile, or disassemble Services.
4.4.2 Utilize robots, web spiders, or other automated devices, programs, scripts, algorithms, methodologies, or similar processes to access, acquire, modify Nstproxy, or in any way reproduce or circumvent Nstproxy's navigational structure to obtain or attempt to obtain any materials, documents, services, or information not authorized for public access.
4.4.3 Imitate any other individual or legal person.
4.4.4 Utilize Nstproxy and/or the Website to promote unethical marketing or advertising practices, such as the distribution of spam, junk mail, fraudulent messaging, phishing, chain letters, and pyramid schemes.
4.4.5 Uploading malicious or aggressive computer codes, files, or programs to the website is prohibited. This includes computer codes, files, or programs created or otherwise capable of intercepting, deleting, or restricting the performance of any computer software. to create, disseminate, or otherwise transfer or replicate any of the aforementioned software, hardware, systems, or telecommunications equipment.
4.4.6 Obtain access to Nstproxy or other Users' accounts using any technology (such as web harvesting or automatic data gathering), other than Nstproxy's public interface, through lawful channels.
4.4.7 Utilize Nstproxy to develop a competitive website or for benchmarking or other types of competitive study.
4.4.8 Unless otherwise clearly specified in the Order Form or particularly agreed upon by the User and Nstproxy, make any Services available to anyone other than the Users, or utilize any Services for the benefit of anyone other than the User.
4.4.9 Without Nstproxy's prior written authorization, you may not: sell, resell, license, sublicense, distribute, furnish, rent, or lease any Service.
4.4.10 Use the services to store or transmit unlawful, harmful, or defamatory content, or to store or transmit content that violates a third party's right to privacy.
4.4.11 Use the services to send or store harmful malware.
4.4.12 Conduct actions to find vulnerabilities on the Website or to hack the Website, interfere with or breach the integrity or functioning of the Services or the third-party data contained within.
4.4.13 Attempt to enter any Service or associated systems or networks without authorization.
4.4.14 Allow access to any Services, whether direct or indirect, or use of any Services to access or utilize any intellectual property of Nstproxy, unless expressly allowed by this Agreement, the Order Form, or in a manner that circumvents contractual limits on usage.
4.4.15 Without Nstproxy's prior written authorization, you may not alter the Service, Website, any portion, function, or user interface therein, nor may you duplicate them or make any derivative works from them.
4.4.16 Except for framing inside the User's intranets or other instances for its own internal business objectives, the User shall not, without Nstproxy's prior written approval, frame, or mirror any portion of the Website and/or any Service.
4.4.17 Access the Service, dismantle, reverse-engineer, or engineer it to develop a product or service that is competitive; develop a good or service based on concepts, attributes, capabilities, or visuals found in the Service or Website; use the Service and/or Website's ideas, features, functionalities, or images without permission; ascertain whether any patents exist that may protect the Services.
4.4.18 To obtain money under the referral scheme, create phony Personal accounts.
4.4.19 Using the Services to download content with a torrent client; disseminate (video and audio files, software, games, etc.) another's intellectual property without the right holder's consent; watch, download, or share pornographic media; build phishing websites; cyberattack; perpetrate fraud online and other unlawful acts.
4.5 Nstproxy may immediately suspend the Services if the User or Users violate the terms mentioned above in a way that, in Nstproxy's opinion, compromises the security, integrity, or availability of Nstproxy's services. However, Nstproxy will make commercially reasonable efforts to notify the User and allow you to correct the breach or threat before any such suspension, unless the User's actions have already had an adverse effect.
5. PERSONAL ACCOUNT
5.1 During the order, Nstproxy creates the User's Personal Account. If the User violates the provisions of this Agreement or at the User's request, Nstproxy may remove such a Personal account.
5.2 Your Personal Account is entirely your responsibility. Ensure the accuracy of your information and the security of your Personal Account.
5.3 The User's Personal Account may be suspended or terminated at our discretion. If you think that the suspension or termination of access was an error, kindly send a letter to [email protected].
5.4 The User is given a login name and password to access the Proxy Channel after finishing all required tasks.
5.5 The User also can create a Personal Account on the Website by completing the registration form before placing an Order.
5.6 The User must complete the registration procedure, which includes creating a special login and password and providing an email address to create a Personal account.
5.7 Users must give the information to establish a Personal account and use Nstproxy's services. It is advised to enter accurate contact information because Nstproxy can use it to get in touch with the User.
5.8 Users may only make a personal account once. The User keeps using the same Personal Account even if he utilizes two or more different types of Services. Information pertinent to all Services the User utilizes is in the Personal Account.
5.9 Nstproxy does not advise publishing or keeping private or confidential information in the personal account or website and will not be held responsible if any such information is compromised, lost, or damaged.
5.10 Access to the User's Personal Account or the Website may be modified, suspended, or terminated by Nstproxy:
5.10.1 If the User disobeys applicable laws.
5.10.2 If Nstproxy considers that the User has breached this Agreement, in its sole discretion.
5.10.3 Upon the termination of the Services' term of usage.
5.10.4 If Nstproxy determines it is required in other situations.
5.11 If a hack, loss, or login change occurs, Nstproxy may allow the User to regain access to the Personal Account.
6. PRICES FOR SERVICES
6.1 Nstproxy offers payable Services. Prices for Services are established in line with the tariffs published on the Website.
6.2 Nstproxy is compensated upfront for its services.
6.3 All fees included in the Order Form must be paid by the User. Aside from what is stated here or on the order form:
6.3.1 After 24 hours (except cases specified in the Return policy) following the order, payment obligations are irrevocable and payments paid are not recoverable.
6.4 There are both US dollars and foreign currencies listed beside the pricing for the Services. At the current currency rate, the conversion on the Site works automatically.
6.5 Nstproxy reserves the right to review and alter the prices for its services unilaterally. The new Service rates take effect the minute they are posted on the Site.
6.6 If the User cannot utilize the Services due to technical issues on the User’s part, Nstproxy maintains the right, in its sole discretion, to refund paid commissions.
6.7 The accuracy of any payments made by the User is entirely User's responsibility.
6.8 The User can use online banking or other payment methods listed in the order form to make payments. The User may also make use of the money on his Personal balance.
6.9 Through online banking or other payment methods made available in the Personal Account, the User can top up his Personal Balance in advance. The Personal balance has money that may be used to pay for Services.
6.10 The User pays all fees for any fund transfers, including banking institutions and financial agency services.
6.11 It is the User's responsibility to give Nstproxy complete and correct information regarding their payment information, as well as to notify them of any changes. If the User's payment information changes, the User is entirely responsible for any payments using the old information.
7. INTELLECTUAL PROPERTY
7.1 The website and each of its elements belong exclusively to Nstproxy.
7.2 Nstproxy maintains all rights, title, and interest in and to the Services, including all associated intellectual property rights, except for the restricted rights expressly provided in this Agreement. The User is not given rights under this Agreement other than those stated explicitly.
7.3 The User hereby grants Nstproxy a perpetual, irrevocable, royalty-free license to use and incorporate into its services any suggestions, requests for improvements, recommendations, corrections, or other feedback regarding the operation of Nstproxy's Services and/or Nstproxy made by the User or by Users.
7.4 The User hereby provides Nstproxy a nonexclusive, worldwide, permanent, irrevocable license to use the User's name, trade name, trademarks, and logos on the Website.
8. LIABILITY
8.1 The User is accountable for their activities and for addressing any problems arising from third party claims made against them. Your contractual commitments to other parties are not our responsibility.
8.2 Nstproxy disclaims any liability for any acts taken by the User in connection with the use of Nstproxy's services, including any use of the services in violation of applicable laws, any breach by the User of his responsibilities to third parties, Etc.
8.3 Nstproxy disclaims all liability for any information posted on the Website by Users.
8.4 Nstproxy disclaims any duty for the conduct of any other Users or third parties, including their information's correctness, dependability, and applicability. Any claims, losses, or losses of any kind resulting from the User's use of the Site are not the responsibility of Nstproxy.
8.5 The User's execution of this Agreement regarding third parties is not Nstproxy's responsibility. Although Nstproxy encourages the User to report any suspected violations of this Agreement by other Users or by third parties. At its sole discretion, Nstproxy reserves the right to look into the matter and take necessary action.
9. LIMITATION OF LIABILITY
9.1 The entire sum paid by the User under this Agreement for the Services giving rise to the liability shall in no case be the maximum aggregate liability of any party arising out of or in connection with this Agreement.
9.2 Nstproxy is exempt from responsibility for:
9.2.1 The Services are unavailable at any time or for any period. Due to system failure, maintenance, repair, or other factors outside of Nstproxy’s control, access to the Services may be temporarily suspended without prior notice. User agrees and acknowledges that Nstproxy can not warrant uninterrupted access to the Website and Services, thus Nstproxy shall not be liable for any reason User can not access the Website.
9.2.2 Any issue, defect, or mistake that develops as a result of using the Service in a manner that does not adhere to the guidelines, instructions, or other specifications provided by Nstproxy or as a result of the User's breach of its responsibilities under the Agreement.
9.2.3 Issues arising from continued use of the Service with equipment or software that is incompatible with the User's operating system for which the Service has been supplied.
9.2.4 Any loss, corruption, or damage to software or data, regardless of the reason or source, that might have been prevented and fixed if the user had implemented a regular backup system.
9.2.5 Modification to or design flaw in the User's website that uses the Service.
9.2.6 Introduction of a computer virus that interferes with the Nstproxy's Website's proper operation.
9.2.7 The hacking of a computer system by a third party that interferes with the Nstproxy's Website's proper operation.
9.2.8 The host's or hosting system changing.
9.2.9 Network issue rendering the website of Nstproxy unavailable.
9.2.10 An event involving the technological setup of the User.
9.3 The User acknowledges and agrees that, despite the measures taken by Nstproxy, the Website may be compromised, including by hackers, Internet viruses, malware, system and software viruses, etc. In such circumstances, Nstproxy may take corrective measures as it deems necessary in its sole discretion. The User acknowledges and agrees that Nstproxy shall not be liable to the User for any damages it may suffer due to such corrective actions or compromises.
10. CONFIDENTIAL INFORMATION
10.1 This Agreement and the Privacy Policy are in force regarding the use of Confidential Information.
10.1.1 The data of the User is considered to be Confidential information.
10.1.2 The Services and the conditions of all order forms are among Nstproxy's sensitive information (including prices).
10.1.3 Business and marketing strategies, technological know-how, plans, and designs for new products, business procedures disclosed by each party, and the substance of communications between the parties all fall under the Confidential information.
10.2 The Confidential Information does not include information that is generally available to the public otherwise than as a direct or indirect result of disclosure by the Receiving Party or a person employed or engaged by the Receiving Party contrary to their respective obligations of confidentiality; or is made available or becomes available to the Receiving Party otherwise than under this Agreement and free of any restrictions as to its use or disclosure; or information defined by applicable law as public information or as such is not a trade secret, confidential information, information with limited access.
10.3 Confidential Information shared between the parties in connection with the assessment of further Nstproxy Services is subject to the non-disclosure duties outlined in this Privacy Section to avoid any misunderstanding.
10.4 All ownership rights to each party's confidential information are still intact. The receiving party will take reasonable care – but no less than the level of care it takes to preserve the privacy of its similar kinds of private information:
10.4.1 Not utilize any of the disclosing party's confidential information for any purposes not covered by this Agreement.
10.4.2 Except as otherwise permitted in writing by the disclosing party, restrict access to the disclosing party's confidential information to only those employees and contractors of the disclosing party who need it for purposes that are consistent with this Agreement and who have signed confidentiality agreements with the receiving party that has security measures that protect confidential information just as reliably as those found in this document.
10.5 Without the other party's prior written consent, neither party shall disclose the terms of any Order Form to a third party, legal counsel, or accountants; however, the party disclosing such information to its legal counsel or accountants shall be solely responsible for that party's compliance with section «Privacy» of the Order Form.
10.6 Despite the aforementioned, Nstproxy may, subject to materially protective secrecy restrictions as set out herein, reveal to a subcontractor the details of any applicable Order Form to the extent necessary to satisfy Nstproxy's duties under this Agreement.
10.7 If required by applicable law, the Receiving Party may divulge the Disclosing Party's confidential information as long as it provides the Disclosing Party with advance notice of the disclosure and reasonable assistance, at the Disclosing Party's expense, if the Disclosing Party wishes to challenge the disclosure. The disclosing party will pay the receiving party back for its reasonable costs incurred in gathering and providing secure access to that confidential information if the receiving party is required by applicable law to disclose the disclosing party's confidential information as part of a civil proceeding in which the disclosing party is a party.
11. TERM AND TERMINATION
11.1 Your Personal Account could be deleted if you ask us to, if you break the terms of this Agreement, the law, or someone else's rights, or if you stop using the Service.
11.2 This Agreement is effective as soon as the User accepts it and is in effect for the duration of the provision of all Services hereunder, unless and until the Services are discontinued.
11.3 By making a new order, you can use the Services through your Personal account.
11.4 Nstproxy may unilaterally cancel this Agreement and cease offering its services if the User disobeys its provisions.
11.5 In the event of any termination or expiration of this Agreement, the sections and subsections «Subject of the agreement», «Prices for services», «Intellectual property», «Liability», «Limitation of Liability», «Confidential information», «Term and Termination», «Disclaimers» and «Severability» will remain in effect, as will the parties' duties under the section named «Confidentiality» for as long as they continue to hold the other party's data.
12. OTHER PROVISIONS
12.1 This Agreement replaces all former and contemporaneous agreements, offers, or representations, whether written or oral, concerning its subject and constitutes the entire agreement between Nstproxy and the User concerning the User's use of the Services. The applicable order form should be given priority in the case of any disagreement or inconsistency over this Agreement.
12.2 The titles and section headers used in this Agreement are just for convenience and have no bearing on how any of its provisions are written.
12.3 Nstproxy may update or add to the Agreement at any time without providing prior notification to the User. As soon as it is posted on the Site, the revised version of the Agreement becomes enforceable.
12.4 The User immediately acknowledges any modifications and/or additions to the Agreement by continuing to use the Website and Services following such changes and/or additions.
12.5 Representations. Each party affirms that it has the power and authority to engage in this Agreement.
12.6 Disclaimers. Any Service is made available «as is» and without any warranties of any kind. No guarantees of any kind, whether explicit, implied, statutory, or otherwise, are made by any party unless specifically stated in this agreement, and each party expressly disclaims all implied warranties, including any implicit warranties of merchantability. To the fullest degree permissible by relevant law, the subject should be suitable, suited for a specific purpose, or non-infringing.
12.7 Parties' relationships. Everybody involved is an independent contractor. No agency, joint venture, fiduciary, employment, or partnership between the parties is established by this Agreement. All remuneration payable to each Party's Employees and all employment-related taxes should be paid by such Party unilaterally.
12.8 Severability. If any clause or covenant of this Agreement shall be unenforceable or invalid under applicable laws or be so held by the applicable court decision, such unenforceability or invalidity shall not render this Agreement unenforceable or invalid as a whole.
12.9 Assignment. However, either party may assign this Agreement entirely (including all Order Forms) without the other party's consent in connection with a merger, acquisition, corporate reorganization, or sale of all or nearly all of its assets. Neither party may assign any of its rights or obligations under this Agreement, whether by operation of law or otherwise, without the other party's prior written consent (not to be unreasonably withheld). Despite the aforementioned, Nstproxy may end this Agreement by giving the User written notice if it is purchased, sells almost all of its assets, or is taken over by a direct rival. This Agreement shall be binding upon and inure to the benefit of the Parties subject to the above, their respective successors, and permitted assignments.
